Corporate governance is a term of increasingly common usage in the business world. It is defined as a system that guides and manages the way in which a company operates. Through this OpenCourseWare, students learn about the various roles governance might play in a corporate setting and other, broader definitions that may describe it. They also explore why these systems are created and what forces drive them. Additionally, students examine examples of governance failures in real corporations and why those failures occurred. The course also reviews shareholder activism and rating agencies. This is a 6-hour class.
