'The Law of Mergers and Acquisitions' is OpenCourseWare offered by MIT on the legal points of two companies merging (a friendly transaction) or one company acquiring or taking over another company (generally unfriendly and called an acquisition). The Law of Mergers and Acquisitions: Course Description

'The Law of Mergers and Acquisitions' is a graduate-level course that begins with laws and court precedents involving simple, friendly transactions. Tax considerations, contract points, employment issues for key employees, LBOs (leverage buyouts) and the roles and legal responsibilities of key players are studied. Student reads excerpts from legal decisions, agency statements, administrative proceedings and the recommended textbooks. In the second half of the course, complicating issues, such as intellectual property, legal liability, regulatory clearance and antitrust concerns, are examined. Finally, students consider distressed companies facing bankruptcy, liquidation or reorganization. John Akula taught this course as a seminar to students enrolled in a graduate program at Sloan School of Management to help them develop analytic skills that are law-related.
